Terms and Conditions for Hotel Subscriptions
These Terms and Conditions (hereinafter “Terms”) govern the access to and use of the subscription services offered by Top World Hotel LTD, a limited liability company governed by the laws of England and Wales, with its registered office at 71-75 Shelton Street, London, WC2H 9JQ (“Top World Hotel”, “Topworldhotel.com”, “we”, “us” or “our”), to hotels subscribing to an annual subscription on our platform. The subscription and confirmation of the subscription, made via the landing page, constitutes full acceptance by the Hotel (hereinafter “Hotel” or “you”) of these Terms. If the Hotel does not intend to accept these conditions, it is requested not to proceed with the subscription.
1. Term, Renewal and Notice
1.1 Term of the Subscription
- The subscription is entered into for a period of twelve (12) months (“Subscription Term”) commencing from the date of confirmation by the Hotel.
- Upon expiration of the Subscription Term, the contract shall automatically renew for an additional twelve (12) months, unless expressly terminated by the Hotel as provided in Section 6.
- The automatic renewal is subject to the successful processing of the debit on the designated payment method.
- In the event that the payment is not processed due to reasons attributable to the Hotel, Top World Hotel reserves the right to temporarily suspend the service until payment is regularized.
1.2 Renewal Notice and Procedure
Approximately seven (7) days prior to the expiration of the Subscription Term, Top World Hotel will send a renewal notice to the registered email address and make such information available via the Hotel’s personal dashboard.
During this period, the Hotel may:
- Cancel the automatic renewal, thereby avoiding the charge for the subsequent period;
- Request a modification of the subscribed package (upgrade or downgrade) based on the available service options.
In the absence of any contrary communication within the specified period, the renewal shall be deemed implicitly accepted under the same contractual conditions and at the same price.
2. Pricing, Payment Methods and Package Selection
2.1 Package Selection
The Hotel may choose from a diverse range of subscription packages, each of which includes a predetermined set of services. Such services include, by way of example:
- Listing and Updates: Publication and continuous updating of the Hotel’s information on the platform.
- Social Media Promotion: Scheduled publication of promotional posts on channels such as Facebook, Instagram, TikTok, etc.
- Article Publication: Drafting and dissemination of dedicated content on the Top World Hotel blog.
- Newsletter Distribution: Inclusion of the Hotel in periodic newsletters sent to subscribers.
- Additional Visibility: Preferential placements and promotional campaigns within the platform.
- Optional Additional Services: In the event that Top World Hotel decides to offer further services or customizations, these will be proposed as additional options on a modular basis and, in such cases, will be defined in specific supplementary agreements.
2.2 Pricing and Payment
The subscription fee, inclusive of all applicable taxes and charges, is fixed for the entire Subscription Term.
Payment is made via credit card at the time of confirmation, and the Hotel agrees that the same instrument will be automatically debited at the beginning of each new Subscription Term in accordance with the conditions of the chosen package.
In the event of non-debit (due to technical reasons or revocation by the card network), Top World Hotel reserves the right to temporarily suspend the service until payment is regularized. At the time of renewal, the Hotel may decide to modify the package (upgrade or downgrade) or disable automatic renewal, without any retroactive changes to the fixed price for the current term.
3. Description and Delivery of Services
3.1 Standard Services
The purchase of a subscription package entitles the Hotel to the following services, the quantity and method of delivery of which vary according to the chosen package:
- Platform Listing: Publication and continuous updating of the Hotel’s information and content on the Top World Hotel website.
- Social Media Promotion: Scheduled publication of promotional posts on major social media channels (Facebook, Instagram, TikTok, etc.). While we commit to providing high-quality services, no minimum level of engagement or performance is guaranteed, as such results also depend on external factors.
- Blog Article Publication: Drafting and publication of dedicated content aimed at highlighting the Hotel’s unique features.
- Newsletter Distribution: Inclusion of the Hotel in periodic newsletters sent to a wide subscriber base.
- Additional Visibility: The possibility of obtaining preferential placements and internal promotional campaigns to strengthen the Hotel’s online presence.
3.2 Additional and Customized Services
Top World Hotel reserves the right to offer, in the future, additional services or customizations on a modular basis, in response to market needs and commercial opportunities.
Should such services become available, the details, activation procedures, and related costs will be communicated to the Hotel separately and, if requested, incorporated into this agreement through specific supplementary documents.
The Hotel is not obligated to accept such additional services, and the subscription does not imply any obligation to purchase or activate additional options beyond those explicitly included in the chosen package.
3.3 Access to the Dashboard
The Hotel will receive credentials to access a secure and personalized dashboard, from which it may:
- Manage and autonomously update the information and content related to its property;
- Monitor the activation of services, view the expiration calendar, and manage the renewal of the subscription;
- Purchase additional standalone or customized services if necessary.
4. Hotel Obligations and Responsibilities
4.1 Provision of Information and Materials
The Hotel agrees to provide, in an accurate, complete, and timely manner, all information, data, as well as photographic, video, and any other content required for the delivery of the services included in the package. The Hotel also warrants that it possesses the necessary rights for the use and dissemination of the provided content and agrees to indemnify Top World Hotel from any claims arising from copyright or intellectual property violations. In the event that such content is not provided in an appropriate manner or within a reasonable timeframe, Top World Hotel reserves the right to suspend or not activate the related services, without any obligation to refund.
4.2 Updating and Accuracy of Data
It is the Hotel’s responsibility to ensure the truthfulness, accuracy, and continuous updating of the information provided. The Hotel agrees to cooperate with Top World Hotel for any requests for verification or updates, in order to maintain high standards of quality and accuracy. Any errors or inaccuracies in the provided information shall not constitute grounds for any claim for damages by the Hotel.
5. Amendments to the Terms and Communications
5.1 Right to Amend the Terms
Top World Hotel reserves the right to modify, update, or supplement these Terms at any time, including to comply with new regulations or to improve service delivery. Any significant amendments will be communicated to the Hotel via email and made available on the dashboard, with a minimum notice period of thirty (30) days, except in cases of technical or organizational changes that do not affect contractual obligations. These Terms, including any updates, constitute the entire agreement between the parties; any amendment must be provided in writing. The continuation of the subscription after such communication shall constitute the Hotel’s implicit and irrevocable acceptance of the new Terms.
5.2 Official Communication Methods
All official communications, including those regarding renewal, amendments to the Terms, or updates to the services, shall be sent to the email address registered by the Hotel and made available on the personal dashboard.
5.3 Entire Agreement and Severability Clause
These Terms, together with any supplementary documents, constitute the entire agreement between the parties and supersede all prior written or oral understandings regarding the subject matter of this contract. Should any provision of these Terms be found to be invalid, ineffective, or unenforceable, such invalidity shall not affect the validity of the remaining provisions, which shall continue in full force and effect.
6. Cancellation, Termination and Dispute Resolution
6.1 Cancellation Procedure
The Hotel may cancel its subscription at any time through the cancellation procedure available on the landing page or via the dashboard. Cancellation must be executed in writing or through the designated digital procedure and shall take effect at the end of the current Subscription Term, with no further charges applied thereafter. At the end of the current term, the Hotel’s presence and the associated services will be permanently removed from the platform. The cancellation request, once transmitted through the digital procedure, shall be deemed final and irrevocable, without entitling the Hotel to a refund of any amounts already paid for the current Subscription Term.
6.2 Non-Refund Policy
Cancellation of the subscription shall not entitle the Hotel to a refund of the sums already paid for the current Subscription Term.
7. Limitations of Services and Exclusion of Liability
7.1 Limitations on Results
While Top World Hotel is committed to providing high-quality promotional services, it does not guarantee specific results in terms of increased engagement, bookings, contacts, or any other performance indicators. The Hotel acknowledges that promotional outcomes depend on numerous factors, including those external and beyond the control of Top World Hotel, and no guarantee of concrete results is provided.
7.2 Exclusion of Liability for Third-Party Platforms and Force Majeure
Top World Hotel shall not be held responsible for malfunctions, interruptions, or limitations in the services provided by third-party platforms (such as Facebook, Instagram, TikTok, etc.) that may negatively affect promotional results. In no event shall Top World Hotel be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use the services provided. Any force majeure events that prevent or delay the provision of services shall exclude any liability on the part of Top World Hotel.
7.3 Indemnification Clause
The Hotel agrees to indemnify and hold harmless Top World Hotel, as well as its directors, employees, and affiliates, from any liability, cost, expense, damage, or claim (including reasonable legal fees) arising from any breach of these Terms or from the improper use of the services provided.
7.4 Limitation of Liability
The total liability of Top World Hotel with respect to these Terms shall be limited to the subscription fee paid by the Hotel for the current Subscription Term or a nominal amount, as provided by applicable law. In no event shall the total liability of Top World Hotel exceed the total amount paid by the Hotel for the current Subscription Term, nor shall Top World Hotel be held liable for any indirect or consequential damages exceeding such amount.
8. Governing Law and Dispute Resolution
8.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England.
8.2 Jurisdiction and Alternative Dispute Resolution
Any dispute arising from or in connection with these Terms shall be resolved exclusively by the courts of London (England and Wales). Prior to resorting to litigation, the parties agree to attempt an amicable resolution through mediation or arbitration, as provided by applicable law, in order to reduce the time and costs of any dispute.
9. Privacy and Data Protection
9.1 Data Management and Processing
The personal and commercial data provided by the Hotel shall be processed in accordance with our Privacy Policy and the applicable data protection regulations, including the General Data Protection Regulation (GDPR). By subscribing, the Hotel consents to the processing of its data as described in the Privacy Policy, which forms an integral part of these Terms.
10. Acceptance and Confirmation of the Subscription
10.1 Method of Acceptance
By confirming the subscription via the purchase on the landing page, the Hotel acknowledges that it has read, understood, and fully accepted these Terms in an irrevocable manner. This act shall constitute complete and definitive acceptance of all conditions set forth herein.
10.2 Confirmation Email
Upon completion of the subscription process, an email will be sent to the Hotel at the email address provided during registration, containing all details relating to the purchase and activation of the subscription.
11. Entry into the Top World Hotel Network
By subscribing to the subscription, the Hotel (or Villa/Property) will become part of the Top World Hotel network and circuit. In this context, the property:
- Will benefit from increased visibility and may access strategic marketing opportunities and partnerships within the network.
- Will be considered an integral part of the Top World Hotel promotional circuit, with the possibility of participating in joint campaigns, events, and dedicated communication initiatives activated periodically to enhance the presence of affiliated properties.
- Will have access to exclusive tools and services reserved for network members, thereby contributing to strengthening the competitiveness and brand recognition of the Hotel.
- Participation in the network is subject to the Hotel’s full compliance with these Terms and may be suspended or revoked, upon written notice, in the event of serious or repeated breaches by the Hotel. Furthermore, participation in the network does not guarantee any specific economic result.
